Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Reset, LLC ("Reset", "we", "us") governing your access to and use of the Happy Page platform, website, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and authorized to bind a business to these Terms. The Service is currently offered to businesses operating in the United States. You are responsible for compliance with all laws applicable to your business.

2. Accounts & Credit Card Requirement

You must provide a valid credit or debit card to create an account and start your free trial. You authorize Reset and our payment processor to charge that card for all fees described in Section 4.

3. The Service

Happy Page provides a hosted page, a dedicated platform phone number, automated publishing, call/SMS handling, and submission of your business information to third-party AI assistants and search systems. Features may change over time. We may add, modify, or remove features at our discretion.

4. Free Trial, Fees & Auto-Renewal

  • The Service includes a 7-day free trial starting when you create your account.
  • If you do not cancel before the trial ends, your subscription will automatically begin and your card will be charged the then-current monthly fee (currently $89/month), and monthly thereafter, until cancelled.
  • All fees are in U.S. dollars and exclusive of taxes, which you are responsible for.
  • You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current paid period.
  • Except where required by law, fees are non-refundable. See our Billing, Trial & Refund Policy.
  • We may change pricing on at least 30 days' notice.

5. Platform Phone Number (No Porting)

Reset, LLC provisions and owns the dedicated phone number assigned to your Happy Page. The number is provided as a service feature only. You cannot port, transfer, or assign the number to another carrier, platform, or person. On cancellation or termination the number is released back to the pool and may be reassigned.

6. Your Content & License to Reset

You retain ownership of business information, logos, photos, and other content you submit ("Customer Content"). You grant Reset a worldwide, non-exclusive, royalty-free license to host, reproduce, modify, publish, and distribute Customer Content as needed to operate the Service, including transmitting it to third-party AI assistants, directories, and search systems.

You represent that you own or have all necessary rights to the Customer Content and that it does not infringe any third party's rights or violate any law.

7. Automated Publishing

The Service auto-generates and auto-publishes content on a schedule. You will not be asked to approve individual posts. You are responsible for reviewing your live page and notifying us promptly of any inaccuracies. See our AI & Automated Content Policy.

8. Third-Party AI Assistants & No Visibility Guarantee

ChatGPT, Claude, Gemini, Grok, Copilot and similar AI assistants are independent products owned by their respective companies. Reset is not affiliated with, endorsed by, or sponsored by any of them. We do not control how these systems crawl, index, rank, recommend, or display any business.

We make no representation, warranty, or guarantee that your business will be discovered, indexed, recommended, or shown by any AI assistant, search engine, directory, or other third-party system, or that the Service will produce any specific number of calls, leads, bookings, or revenue.

9. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy and SMS / Messaging Terms. Violations may result in immediate suspension or termination without refund.

10. Intellectual Property

The Service, including all software, designs, templates, text, and trademarks, is owned by Reset, LLC or its licensors and is protected by intellectual property laws. Except for the limited license to use the Service, no rights are granted to you.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION. RESET DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR ERROR-FREE.

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for gross negligence, willful misconduct, death, personal injury, or fraud. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Where you are a consumer, your statutory rights are not affected.

11A. EU AI Act & AI Transparency

Happy Page uses third-party generative artificial-intelligence systems to produce text, summaries, replies, and page content. Consistent with Article 50 of Regulation (EU) 2024/1689 (the "EU AI Act"), we disclose that content on a Happy Page may be generated or substantially modified by AI, and that automated SMS, voicemail, and chat replies sent through the Service are produced by AI. Reset does not deploy AI for biometric identification, social scoring, emotion recognition, predictive policing, or any other practice prohibited under Article 5 of the EU AI Act, and the Service is not a "high-risk AI system" within the meaning of Annex III.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RESET, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR ANTICIPATED SAVINGS; OR FOR ANY BUSINESS INTERRUPTION, EVEN IF RESET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

RESET'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, AND ALL CLAIMS OF ANY KIND (WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE) WILL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO RESET, LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES TO RESET IN THAT PERIOD, RESET'S TOTAL LIABILITY IS ZERO.

Basis of the bargain. The pricing of the Service reflects this allocation of risk. You acknowledge that without these limitations Reset would not provide the Service at the stated price.

Nothing in this Section 12 limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, gross negligence, or willful misconduct, and (for UK/EU consumers) liability under non-excludable consumer-protection statutes.

13. Indemnification

You will defend, indemnify, and hold harmless Reset, LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your Customer Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

14. Termination

You may cancel at any time. We may suspend or terminate your account if you breach these Terms, present a risk to the Service, or for failure to pay. Sections that by their nature should survive termination will survive.

15. Governing Law; Arbitration; Class Waiver

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You and Reset waive any right to a jury trial and to participate in a class or representative action. You may opt out of arbitration by emailing info@happypage.ai within 30 days of first accepting these Terms.

For consumers habitually resident in the European Economic Area, the United Kingdom, or Switzerland, the choice of Delaware law does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence (Regulation (EC) No 593/2008 "Rome I", Article 6). Where local mandatory law prohibits binding pre-dispute arbitration or class-action waivers with consumers, those provisions do not apply to you, and you may bring proceedings in the courts of your country of residence.

15A. EU / EEA / UK Consumer Provisions

This Section 15A applies if you contract with Reset as a consumer (i.e. for purposes outside your trade, business, craft, or profession) and are habitually resident in the European Economic Area, the United Kingdom, or Switzerland. It supplements — and where required, prevails over — the other sections of these Terms.

  • Mandatory consumer rights preserved. Nothing in these Terms limits or excludes mandatory consumer rights granted to you by the law of your country of residence, including (where applicable) the UK Consumer Rights Act 2015, the German Bürgerliches Gesetzbuch (BGB), the French Code de la consommation, the Italian Codice del Consumo, and equivalent statutes elsewhere in the EEA.
  • 14-day right of withdrawal (EU Consumer Rights Directive 2011/83/EU). You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day of conclusion of the contract. To exercise the right, send an unequivocal statement (e.g. an email to info@happypage.ai).   • Loss of the right of withdrawal. By starting your free trial and requesting immediate access to the digital service during the 14-day withdrawal period, you expressly consent to performance beginning before the period expires and acknowledge that you lose the right of withdrawal once the Service has been fully supplied (Article 16(m) of Directive 2011/83/EU).
  • Statutory conformity (Directive (EU) 2019/770). Reset will supply the Service in conformity with the contract. Where the Service fails to conform, you may be entitled to have it brought into conformity, to a price reduction, or to terminate the contract, under the conditions set out in that Directive and your national transposition.
  • Online Dispute Resolution. Consumers in the EU may submit complaints via the European Commission's ODR platform at https://ec.europa.eu/consumers/odr. Reset is not obliged and does not commit to participate in alternative dispute-resolution proceedings before a consumer arbitration board.
  • No exclusion of liability for serious fault. Reset does not exclude or limit liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any other liability that cannot be excluded under the consumer-protection law applicable to you.
  • Digital Services Act (Regulation (EU) 2022/2065). Customers may report illegal content on their Happy Page or in the Service by emailing info@happypage.ai. We will acknowledge notices and act on them in line with our obligations.

16. Changes to the Terms

We may update these Terms from time to time. Material changes will be announced at least 14 days in advance via email or in-app notice. Continued use after the effective date constitutes acceptance.

17. Miscellaneous

These Terms, together with the policies referenced above, are the entire agreement between you and Reset regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent.
